Proposed OFC 2022 Bylaws Amendments

Your Oshkosh Food Co-op Board of Directors recommends the following amendments to the existing Oshkosh Food Co-op Bylaws.  In general, we are seeking approval of these changes at this time because of changes in the Co-op's circumstances and advancements in technology and electronic communication. As an open store, we feel it appropriate to provide additional details related to membership including how it can be obtained or relinquished.  Additionally, with advancements in online communications over the years and in an attempt to be good stewards of Co-op and environmental resources, we are recommending several details and clarifications related to the use of email in official notifications and to allow online voting.

05/22/22 Update: Please note, in the original posting of recommended amendments, the Board had recommended modifications to the Co-op's fiscal year to align with Co-op industry standards.  After further guidance from Co-op staff leadership and the Finance Committee, the Board has decided to withdraw the recommendation to change the Co-op’s fiscal year to a 52/53 schedule because maintaining the current fiscal year allows more easily and quickly accessible financial data that staff and leadership can respond to quickly instead of waiting for periodic reports. Staff and Committee members are confident in their ability to translate data into a 52/53 format as needed for industry reporting.

We encourage members to review the following versions of the proposed bylaws amendments. At the Annual Meeting on May 25, you will be asked to vote on whether to approve the Oshkosh Food Co-op Bylaws as Amended - Spring 2022. We are also providing a "redline" version of the proposed amendments. That document shows all omissions and additions as well as provides a short explanation for what the Board is recommending each change.

Please note, as required by Article VIII of the Oshkosh Food Co-op Bylaws, a link to this webpage with copies of the proposed changes to OFC bylaws has been sent by email to every member at their last known address at least ten days prior to our Annual Meeting. Additionally, the Oshkosh Food Co-op Board of Directors approved these  amendments at the May 4, 2022 Board Meeting. Therefore, these bylaws may be amended if approved by a majority vote of the members present and voting at a meeting of the Cooperative, schedule for May 25, 2022.
